Commercial IP

The Spoor & Fisher Commercial IP Department advises clients on the commercial aspects of intellectual property transactions. The department is divided into two groups, being a patent and technology group and a trade marks group. The patent and technology group is headed by Chris Bull and the trade mark group is headed by Hugh Melamdowitz.
Our commercial department assists clients with exploiting their intellectual property. The type of advice and transactions typically required in the commercialisation of intellectual property include:
· assignments, sale and technology transfers;
· licensing;
· franchising;
· joint ventures;
· venture capital fund raising and investments;
· confidentiality agreements and regimes;
· corporate structuring;
· IT contracts; and
· due diligence investigations.
As well as helping clients to negotiate and conclude the various transactions referred to, we also assist clients with the development and implementation of comprehensive intellectual property management strategies.
Tax is an ever-present consideration in any commercial transaction. In South Africa there are further complexities with exchange control restrictions, competition law and specific legislation which impacts on the ownership and transfer of certain categories of intellectual property, for example State funded research.
